1. Acceptance of TermsWelcome to PersonifAI! These Terms of Service ("Terms") constitute a legally binding agreement between you and PersonifAI Corp, an Ontario corporation ("PersonifAI", "we", "us", or "our"), governing your access to and use of our website located at personifai.ca, our mobile applications, and any other services, features, or content we offer (collectively, the "Service").BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. 2. Description of ServicePersonifAI, branded as Guide by PersonifAI, is an AI-powered platform for vacation and travel planning and discovery. The Service enables you to:Create visual travel boards and save places you want to visitDiscover travel destinations through AI-powered conversationSave travel ideas from social media platforms and blogsExplore personalized travel recommendationsOrganize and plan your travel experiencesImportant: The Service uses artificial intelligence to generate recommendations and content. You are interacting with an AI system, not a human travel advisor. AI-generated content is for informational and inspirational purposes only and should not be relied upon as professional travel advice.
3. Eligibility and Account Registration3.1 Age RequirementYou must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.3.2 Account CreationTo access certain features of the Service, you must create an account. You agree to:Provide accurate, current, and complete information during registrationMaintain and promptly update your account informationMaintain the security of your account credentialsNotify us immediately of any unauthorized access to or use of your accountAccept responsibility for all activities that occur under your accountYou may register using third-party authentication services (such as Google). However, this may affect your ability to access the Service or certain features.We are not responsible for the practices, policies, or actions of Authentication Services. Any issues with Authentication Services should be directed to those service providers.
4. User Conduct and Acceptable Use4.1 Permitted UseYou may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for personal, non-commercial purposes related to travel planning and discovery.4.2 Prohibited ConductYou agree NOT to:Violate any applicable laws, regulations, or third-party rightsUse the Service for any commercial purpose without our prior written consentImpersonate any person or entity or falsely state or misrepresent your affiliation with any person or entityInterfere with or disrupt the Service or servers or networks connected to the ServiceAttempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networksUse any robot, spider, scraper, or other automated means to access the ServiceTransmit any viruses, malware, or other malicious codeCollect or harvest any information about other usersUse the Service to send spam, chain letters, or other unsolicited communicationsReverse engineer, decompile, or disassemble any aspect of the ServiceRemove, circumvent, disable, or otherwise interfere with security-related featuresSubmit false, misleading, or fraudulent informationAbuse, harass, threaten, or intimidate other users or our staffPost or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionableInfringe upon the intellectual property rights of othersAttempt to manipulate or exploit the AI system for purposes other than legitimate travel planningUse the Service to store or transmit sensitive personal information (such as credit card numbers, social security numbers, or health information)Attempt to reverse engineer, decompile, disassemble, or derive the source code or underlying algorithms of any aspect of the ServiceUse the Service to develop, design, or create any competing product or serviceStudy, analyze, or examine the Service's functionality, methods, or processes for the purpose of replicating or imitating PersonifAI's proprietary technologyAccess or use the Service to gather intelligence about PersonifAI's proprietary methods, algorithms, or business processesUse any automated tools, bots, or scripts to extract data or information about how the Service functionsAssist or encourage any third party in doing any of the foregoingUse knowledge of PersonifAI's proprietary technology gained through use of the Service to file patent applications or otherwise seek intellectual property protection for similar technology4.3 Consequences of ViolationViolation of these Terms may result in suspension or termination of your account, removal of your content, and/or legal action.
5. Intellectual Property Rights5.1 Our Intellectual PropertyThe Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection and arrangement, and the "Guide" brand and character) are owned by PersonifAI, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use. This license does not include any right to:Resell or make commercial use of the ServiceCollect and use any product listings, descriptions, or pricesMake derivative uses of the ServiceDownload or copy account information for the benefit of another partyUse any data mining, robots, or similar data gathering and extraction tools5.2 Trademarks"PersonifAI", "Guide by PersonifAI", "Guide", our logos, and other marks used on the Service are trademarks or registered trademarks of PersonifAI Corp. You may not use these marks without our prior written permission.5.3 Third-Party Intellectual PropertyThe Service may display content from third-party sources, including social media platforms and websites. Such content is the property of its respective owners and is protected by applicable intellectual property laws. When you share URLs from third-party sources, you represent that you have the right to share such content and that doing so does not violate any third-party rights.5.4 User ContentSee Section 6 for terms regarding User Content.5.5 Copyright ComplaintsPersonifAI respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify PersonifAI in accordance with the procedure set forth below.PersonifAI will process and investigate notices of alleged infringement and will take appropriate actions under applicable Canadian copyright law and international treaties with respect to any alleged or actual infringement.

Unless the copyright owner files an action seeking a court order against you, the removed content may be replaced or access restored at our sole discretion.5.7 Repeat Infringer PolicyIn accordance with applicable copyright law, PersonifAI has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers. PersonifAI may also at its sole discretion limit access to the Service and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.Important Note for Social Media Content: When you share URLs from social media platforms, you represent that you have the right to share such content and that doing so does not violate any intellectual property rights. If a rights holder requests removal of content you've shared, we will remove it and may suspend your account for repeated violations.5.8 PersonifAI's Proprietary Technology and PatentsOwnership of Proprietary Methods and ProcessesPersonifAI owns all rights, title, and interest in and to our proprietary technology, including but not limited to:The methods, processes, and algorithms used to create, organize, and display travel boardsThe technology for converting travel boards into structured itinerariesThe systems and processes for AI-powered travel discovery and recommendationThe architecture and design of our visual travel planning platformAll improvements, enhancements, and derivative works of the foregoingPatent ProtectionPersonifAI has filed or may file patent applications covering our proprietary technology and methods. These patents and patent applications cover the unique processes and systems that power the Service, including but not limited to our travel board creation and itinerary conversion technology.Important Distinction - Content vs. ProcessYou own your content: You retain all ownership rights to the travel destinations, notes, images, and other content you add to your boardsPersonifAI owns the process: PersonifAI owns the proprietary methods, algorithms, and technology that enable the creation, organization, conversion, and display of that contentThis means that while your travel plans belong to you, the innovative way our platform helps you create, organize, and convert those plans into itineraries is our proprietary technology.Prohibited Uses of Proprietary TechnologyYou agree NOT to:Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or methods underlying the ServiceUse the Service to develop, train, or improve any competing product or serviceUse knowledge gained from the Service to create similar travel board or itinerary conversion technologyCopy, replicate, or imitate PersonifAI's proprietary methods or processesExtract, collect, or aggregate data from the Service using automated means to understand or replicate our technologyAssist any third party in doing any of the foregoingNo License to TechnologyYour use of the Service does not grant you any license, right, or interest in PersonifAI's proprietary technology, patents, patent applications, trade secrets, or know-how. Your license to use the Service (as described in Section 5.1) is limited to accessing and using the platform as intended and does not extend to any underlying technology or methods.Violation ConsequencesViolation of this section is a material breach of these Terms and may result in:Immediate termination of your accountLegal action to protect our intellectual property rightsClaims for damages and injunctive reliefIf you wish to license PersonifAI's technology for commercial purposes, please contact us at legal@personifai.ca.6. User Content6.1 Your ContentYou may create, upload, post, or share content through the Service, including but not limited to travel boards, board names and descriptions, images, notes, and other materials ("User Content"). You retain all ownership rights in your User Content.6.2 License to PersonifAIBy submitting User Content to the Service, you grant PersonifAI a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating and providing the Service.This license allows us to:Store and back up your User ContentDisplay your User Content to you and (if you choose to make it public) to other usersUse your User Content to improve our AI models and Service (in aggregated, de-identified form)Use your User Content for marketing purposes (only with your explicit consent)Important Clarification Regarding Patents and Proprietary Technology:This license grants PersonifAI rights to use your content (the travel destinations, notes, and information you provide), but does NOT grant you any rights to PersonifAI's proprietary technology (the methods and processes by which your content is organized, converted, and displayed).To be clear:You grant us a license to use your travel board contentYou do NOT receive any license or rights to our travel board technologyPersonifAI retains all rights to its patented and proprietary methods and processesNo Competitive Use:You may not use User Content or insights derived from the Service to create, develop, train, or improve any product or service that competes with PersonifAI. This includes using your own boards or itineraries as examples to develop similar technology.Important Commitment Regarding Your Data and AI:While we may use aggregated, de-identified data derived from use of the Service to improve our platform, we maintain the following strict policy regarding your personal content:No AI Model Training: We do not allow our third-party AI service providers to train their artificial intelligence models on your personal data, conversation history, or board contentLimited Use: Third-party AI providers may only access your data for the purpose of generating real-time responses to your queriesContractual Protection: We have contractual agreements with our AI providers that prohibit them from retaining or using your data beyond providing the Service to youYour Control: If you delete your account, your personal data and conversation history will be removed from our systems in accordance with our Privacy PolicyThis commitment distinguishes PersonifAI from platforms that use customer data to train AI models. We believe your travel plans and conversations should remain private and should not be used to train commercial AI systems.For more details about how we handle your data, please review our Privacy Policy.6.3 Your RepresentationsBy submitting User Content, you represent and warrant that:You own or have the necessary rights to submit the User ContentYour User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rightsYour User Content does not violate these Terms or any applicable lawsYour User Content does not contain any viruses, malware, or other harmful code6.4 Monitoring and RemovalWe reserve the right, but have no obligation, to monitor, review, or remove User Content at any time, for any reason, without notice. We do not endorse or guarantee the accuracy, completeness, or usefulness of any User Content.6.5 Responsibility for User ContentYou are solely responsible for your User Content and the consequences of posting or publishing it. We are not responsible or liable for any User Content or any loss or damage resulting from User Content.7. AI-Generated Content and Recommendations7.1 Nature of AI ContentThe Service uses artificial intelligence to generate travel recommendations, suggestions, and other content. AI-generated content is provided for informational and inspirational purposes only and should not be considered:Professional travel adviceSafety assessmentsVerified or guaranteed informationReal-time or current informationComprehensive or complete information7.2 Limitations of AIThe AI system:May produce inaccurate, incomplete, outdated, or inappropriate recommendationsIs based on training data and may not reflect current conditionsCannot assess your personal circumstances, abilities, or needsCannot verify the safety, quality, or suitability of recommended locationsMay not be aware of recent events, closures, or changes7.3 Your ResponsibilityYou are solely responsible for:Evaluating all AI-generated recommendations and informationConducting your own research and due diligenceVerifying information with official and authoritative sourcesAssessing the safety and suitability of any travel plansMaking informed decisions based on multiple sourcesAny consequences of following AI recommendations7.4 No GuaranteeWe make no representations or warranties about the accuracy, reliability, completeness, or timeliness of AI-generated content. You use AI-generated content at your own risk.7A. Future Features and Service Evolution7A.1 Platform EvolutionPersonifAI is an evolving platform.
